BYLAWS OF THE PENNSYLVANIA ASSOCIATION OF PERIANESTHESIA NURSES, INC.
ARTICLE I
INTRODUCTORY
Section 1.1 Name. The name of the Corporation is Pennsylvania Association of PerAanesthesia Nurses, hereinafter referred to as the Association. The Association is a nonprofit organization, incorporated under the Pennsylvania Nonprofit Corporation Law of 1972.
Section 1.2 Mission. The Association exists to promote excellence in patient care by supporting perianesthesia nurses through education, the exchange of knowledge, research, caring and respect for the dignity and unique needs of the individual.
ARTICLE II
OFFICES
Section 2.1 Registered Office. The registered officeof this Association is stated in the Articles of Incorporation. Such office will be continuously maintained in the Commonwealth of Pennsylvania.
ARTICLE III
MEMBERSHIP
Section 3.1 General. Membership in the Association is a privilege contingent upon compliance with the requirements of these Bylaws and such other requirements as the Board of Directors may establish.
Section 3.2 Classes of Membership. The Association shall have the following classes of membership: Active, Associate, Retired, and Honorary.
Section 3.2.1 Active. Active members shall be duly licensed nurses who currently practice in good standing, at least part-time, in perianesthesia nursing, or management, teaching, or research of perianesthesia nursing.
Section 3.2.2 Associate. Associate members shall be duly licensed health care professionals who have an interest in perianesthesia patient care.
Section 3.2.3 Retired. Retired members shall be members in good standing who, immediately prior to retirement or permanent disability, were active members.
Section 3.2.4 Honorary. Honorary members shall be those persons who have rendered distinguished or valuable service to perianesthesia nursing and who have been elected as honorary members by the Board of Directors. Honorary members are considered active members but do not pay dues.
Section 3.3 Privileges. Only active and retired members in good standing shall have the right to vote on matters submitted to a vote of the members. Only active and retired members in good standing shall have the right to hold an office in the Association. Only active and retired members in good standing may serve on committees of the Association. All members in good standing shall be entitled to receive the official publications and notices of the Association.
Section 3.4 Application and Dues Assessment.
Section 3.4.1 Application. Any person desiring membership in the Association shall submit a written, signed membership application to ASPAN. Members of the association must be a member of ASPAN.
Section 3.4.2 Dues Assessment. All members of the Association, except honorary members, shall pay dues in such amounts as shall be determined by the Board of Directors. Initial dues shall accompany the membership application. Members are delinquent if their dues are not received by the Association within sixty (60) days of the date, upon which the dues are payable. After that point membership shall be terminated.
